1. Agreement to Terms

By accessing or using Inteliworks ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individual users, businesses, agencies, and resellers ("Users").

2. Description of Service

Inteliworks provides AI-powered automation agents and related services, including but not limited to:

• Pre-built AI automation agents for various business functions
• Custom agent configuration and deployment
• API access for integration with third-party systems
• Team collaboration and management features
• Analytics and reporting dashboards
• Done-for-you implementation services
• White-label and reseller programs

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

4. Subscriptions and Payments

4.1 Billing

Some aspects of the Service are provided on a subscription basis ("Subscription"). You will be billed in advance on a recurring basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the plan you select.

4.2 Payment

You agree to pay all fees associated with your Subscription. Payment is due at the beginning of each Billing Cycle. If payment fails, we may suspend or terminate your access to the Service.

4.3 Price Changes

We reserve the right to modify subscription fees. Any price changes will be communicated at least 30 days before taking effect. Continued use of the Service after price changes constitutes acceptance of the new fees.

4.4 Refunds

Refunds are handled in accordance with our Refund Policy. Generally, subscription fees are non-refundable except as required by law or as explicitly stated in our Refund Policy.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• To send spam, unsolicited communications, or bulk messages
• To harass, abuse, or harm another person or entity
• To impersonate any person or entity
• To interfere with or disrupt the Service or servers

6. AI Services Disclaimer

Our AI agents are tools designed to assist with automation tasks. You acknowledge and agree that:

• AI outputs may contain errors and should be reviewed by humans
• You are responsible for reviewing and approving all AI-generated content before use
• AI agents are not a substitute for professional advice (legal, medical, financial, etc.)
• Results may vary and we do not guarantee specific outcomes
• You maintain responsibility for compliance with applicable laws in your use of AI outputs

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by Inteliworks and is protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

7.2 Your Content

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store such content solely for the purpose of providing the Service.

7.3 AI-Generated Content

Content generated by our AI agents based on your inputs belongs to you, subject to any third-party rights. You are responsible for ensuring your use of AI-generated content complies with applicable laws.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

For business customers processing personal data through our Service, our Data Processing Agreement applies.

9. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. You acknowledge that:

• Third-party integrations are subject to their own terms and conditions
• We do not endorse or assume responsibility for third-party services
• Your use of third-party services is at your own risk
• You are responsible for maintaining valid credentials for connected services

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to:

• Perform scheduled maintenance with reasonable notice
• Modify, suspend, or discontinue features of the Service
• Implement usage limits to ensure fair access for all users

For paid plans, our Service Level Agreement provides specific uptime commitments.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion for any reason

Upon termination, your right to use the Service will immediately cease. You may export your data within 30 days of termination, after which it may be deleted.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELIWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from your use of the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF AI OUTPUTS

We do not warrant that the Service will be error-free, secure, or continuously available.

14. Indemnification

You agree to indemnify, defend, and hold harmless Inteliworks and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last updated" date
• Sending email notification for material changes

Your continued use of the Service after changes constitutes acceptance of the modified Terms.
