Partner Program Terms

Introduction

These Partner Program Terms ("Partner Terms") govern your participation in the Inteliworks Partner Program. These Partner Terms are in addition to our Terms of Service and any separate Partner Agreement you may have signed.

By applying to or participating in our Partner Program, you agree to these Partner Terms.

1. Partner Program Tiers

1.1 Affiliate Partners

Affiliate Partners promote Inteliworks through referral links and earn commissions on resulting sales.

• 15% recurring commission on all referred customer payments
• Commission paid for the lifetime of the referred customer (capped at 24 months)
• 30-day cookie attribution window
• Self-service affiliate dashboard
• Marketing materials and link tracking

1.2 Reseller Partners

Reseller Partners purchase Inteliworks subscriptions at wholesale pricing to resell to their customers.

• 20-30% margin on resold subscriptions (tier-based)
• Volume discounts available
• Partner deal registration with commission protection
• Co-marketing opportunities and MDF (Marketing Development Funds)
• Priority partner support queue
• Quarterly business reviews

1.3 Agency Partners

Agency Partners offer Inteliworks as part of their client services, with white-label options.

• White-label platform with custom branding
• Revenue share model (typically 70/30)
• Dedicated Partner Success Manager
• API access for custom integrations
• Priority feature requests
• Joint go-to-market opportunities
• Early access to new features and beta programs

2. Eligibility Requirements

To participate in the Partner Program, you must:

• Be at least 18 years old or the legal age in your jurisdiction
• Have a valid business entity (for Reseller and Agency tiers)
• Complete the partner application and be approved by Inteliworks
• Agree to these Partner Terms and our Terms of Service
• Provide accurate business and tax information
• Maintain compliance with applicable laws and regulations

Tier-Specific Requirements

3. Commissions & Payments

3.1 Commission Structure

• Commissions are calculated on net revenue (excluding taxes, refunds, and chargebacks)
• Commissions are earned when customer payment is successfully processed
• First-month commissions may be held pending customer trial conversion

3.2 Payment Terms

• Payments are made monthly, net-30 days
• Minimum payout threshold: $100 (below threshold balances roll over)
• Payments via ACH, wire transfer, or PayPal
• You are responsible for applicable taxes on commissions

3.3 Commission Adjustments

We may adjust or reverse commissions due to customer refunds, chargebacks, fraud, or violations of these Partner Terms. Clawback period is 90 days from original commission payment.

4. Partner Obligations

As a Partner, you agree to:

• Promote Inteliworks honestly and accurately
• Not make false or misleading claims about our products or services
• Comply with our brand guidelines when using our trademarks
• Not engage in spam, deceptive marketing, or illegal activities
• Not use paid search ads on Inteliworks brand terms without approval
• Disclose affiliate relationships as required by law (FTC guidelines)
• Protect customer data in accordance with our Privacy Policy
• Maintain professional standards when representing Inteliworks
• Complete required training and maintain certifications

5. Trademark & Brand Usage

Subject to these Partner Terms:

• We grant you a limited, non-exclusive license to use Inteliworks trademarks for Partner activities
• All use must comply with our Brand Guidelines
• You may not modify our logos or create derivative marks
• We may revoke trademark rights at any time with notice
• All goodwill from trademark use accrues to Inteliworks

6. Deal Registration (Reseller/Agency)

For Reseller and Agency Partners:

• Register deals through the Partner Portal to protect your opportunities
• Registered deals receive commission protection for 90 days
• First-to-register wins in case of conflicts (with valid engagement proof)
• We reserve the right to approve or deny registrations
• False or speculative registrations may result in program termination

7. White-Label Terms (Agency Partners)

For Agency Partners with white-label arrangements:

• You may brand the platform with your company identity
• You are responsible for first-line support to your customers
• Customer data remains subject to our Privacy Policy and DPA
• We may display "Powered by Inteliworks" in footer/settings
• White-label requires separate agreement and additional fees
• You maintain responsibility for your customers' compliance

8. Confidentiality

Each party agrees to keep confidential:

• Pricing, commission rates, and financial terms
• Product roadmaps and unreleased features
• Customer lists and referral data
• Business strategies and proprietary methods

Confidentiality obligations survive termination of the partnership for 3 years.

9. Term & Termination

9.1 Term

Your partnership is effective upon approval and continues until terminated by either party.

9.2 Termination

• Either party may terminate with 30 days written notice
• We may terminate immediately for material breach or violation of these Terms
• Upon termination, you must cease using Inteliworks trademarks
• Pending commissions for legitimate referrals will be paid per normal schedule

9.3 Effect of Termination

• Your access to the Partner Portal will be revoked
• Active customer accounts will continue as direct Inteliworks customers
• White-label arrangements will transition per your customer agreements

10. Limitation of Liability

Our total liability to you under these Partner Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Modifications

We may modify these Partner Terms, commission rates, or program structure with 30 days notice. Material changes affecting existing commission rates will honor existing registered deals. Continued participation after changes constitutes acceptance.
